Nebulapp Assignee History End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (the "Licensee") and Nebulapp, regarding the use of the "Assignee History" software product ("Product"). By accepting this Agreement, you agree to be bound by its terms and conditions.

Definitions

  • Nebulapp: Refers to Nebulapp, the licensor of the Product.

  • Authorized User: A licensed user of the Product for whom the Licensee has paid the applicable fees.

  • Authorized Use: The installation and use of the Product by an Authorized User for the Licensee’s internal business purposes.

  • Product: The "Assignee History" software product developed by Nebulapp.

  • License Fee: The total amount paid and payable by the Licensee for the Product.

  • Term: The duration of this Agreement.

  • Support Plan: Any support program applicable to the Product as detailed by Nebulapp.

Grant of License

Subject to the terms of this Agreement, Nebulapp grants to the Licensee a non-exclusive, non-transferable, and limited license to use the Product for Authorized Use.

No Warranty

The Licensee acknowledges that the Product is provided on an "as is" basis without any warranties, express or implied, including but not limited to warranties of performance or merchantability.

Exclusion of Liability

Nebulapp shall not be liable for any loss, damage, cost, expense, or other claim arising from the use of the Product, except as otherwise provided by applicable law.

Intellectual Property

All intellectual property rights in the Product remain the property of Nebulapp. The Licensee must not remove or alter any proprietary notices in or on the Product.

Licensee’s Obligations

The Licensee must ensure that only Authorized Users use the Product for Authorized Use.

Unauthorized Use and Distribution

Any unauthorized distribution or use of the Product may result in additional fees and termination of this Agreement by Nebulapp.

Termination

This Agreement may be terminated by either party in the event of a material breach by the other party.
